OPERATIONAL_TERMS_v1.0

TERMS_OF_SERVICE.

Rules for using Audyx / Audyx Core. German law clauses apply where noted for consumers (and Hamburg venue for merchants where permitted).

P-01 // SERVICE_SCOPE

Audyx provides an AI-assisted script and retention analysis tool (“Audyx Core”). By creating an account or otherwise using the service you agree to these terms. Paid features rules apply whenever checkout is enabled; invite-only periods may gate access separately. The service is provided as available; we do not guarantee specific platform outcomes (views, revenue, or algorithm placement).

P-02 // ACCOUNT_AND_ACCEPTABLE_USE

You must provide accurate registration data. You may not reverse engineer the product, automate abusive high-volume usage, resell API access, or use the service to generate unlawful content. We may suspend or terminate accounts for serious or repeated violations.

P-03 // SUBSCRIPTIONS_AND_PAYMENT

When Stripe checkout for subscriptions or one-off packs is available, fees and billing cycles are shown at checkout; the payable amount stated before confirmation is decisive. Taxes (VAT/sales tax), if applicable, appear as Stripe presents them for your billing address and Merchant tax settings at the time of charge. Subscriptions renew automatically until cancelled. You can cancel at any time without login via our public cancellation form at /cancel-subscription (§ 312k BGB), where that flow is offered for active billings, or from inside the app via Manage plan. During checkout pauses (e.g. invite-only beta), new purchases are not initiated through Audyx-hosted checkout; other sections of these terms (account conduct, acceptable use, liability, data) continue to apply to your use of Audyx Core.

P-04 // WITHDRAWAL_CONSUMERS_EU_UK

If you are a consumer in the EU or UK and you conclude a distance contract through our Stripe checkout for a paid Audyx plan, you generally have a 14-day statutory right of withdrawal for distance contracts. Audyx delivers digital content immediately when a paid subscription starts; under § 356 Abs. 5 BGB / EU Consumer Rights Directive that withdrawal right is irrevocably lost once you expressly request immediate performance before delivery and acknowledge that loss. Where checkout is enabled, our flow collects that acknowledgement before charge: by completing the purchase you confirm both the immediate-performance request and the loss of withdrawal. For distance contracts concluded without our Stripe checkout (for example purely free-access periods), statutory withdrawal rules depend on whether a binding paid contract arose—ask support@audyx.ai if unsure. A model withdrawal form can be requested at support@audyx.ai.

P-05 // FAIR_USE_AND_LIMITS

Plans and labels (including Starter, Creator, Pro, Beta, trial, or free allowance) govern scan or usage limits enforced in software. Tier names primarily describe intended commercial allowances when Checkout is active; Beta or equivalent labels may mirror a commercial quota without charging. Automated mass extraction or API-style abuse may result in throttling or termination regardless of tier label.

P-06 // LIABILITY

To the extent permitted by law, we are not liable for indirect or consequential damages. For slight negligence we are liable only for breach of material contractual obligations, limited to foreseeable typical damage. Mandatory liability (e.g. intent, gross negligence, injury to life/body/health) remains unaffected where applicable.

P-07 // LAW_AND_VENUE

These terms are governed by the laws of the Federal Republic of Germany, excluding the UN Sales Convention where allowed. For consumers, mandatory consumer protections of your country of residence may also apply. For merchants, venue is Hamburg, Germany, where legally permissible.

P-08 // CHANGES

We may update these terms for legal, security, or product reasons. Material changes will be communicated in an appropriate way (e.g. in-app or by email). Continued use after notice may constitute acceptance where permitted by law.

P-09 // AI-GENERATED_CONTENT

Audyx uses large language models (currently Anthropic Claude) to generate script drafts, retention notes, and related content. All outputs are AI-generated. You are solely responsible for reviewing, editing, and fact-checking any output before publishing. Many platforms (including YouTube, TikTok, and Instagram) require creators to disclose AI-generated content in their uploads — compliance with those platform policies is your responsibility. Audyx does not automatically label outputs as AI-generated on third-party platforms. Nothing in this service constitutes professional, legal, medical, or financial advice.

P-10 // CHAT_HISTORY_AND_DATA

To enable cross-device access, your chat session titles and message content are stored server-side in our cloud database (Supabase, hosted within the EU), linked to your account. A local copy is also kept in your browser's localStorage as an offline cache. You may delete individual sessions at any time from the sidebar. All stored chat data is permanently deleted when you delete your account. We recommend not pasting passwords, payment details, or other sensitive secrets into any AI chat.

DISPUTE_RESOLUTION_EU

EU online dispute resolution: https://ec.europa.eu/consumers/odr. We are not obliged and, under § 36 VSBG (Germany), not willing to participate in dispute resolution before a consumer arbitration board.
